1. Acceptance of Terms
By accessing or using the Apex Lead Intelligence (ALI) platform and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services. These terms apply to all clients, visitors, and users of the ALI platform.
2. Description of Services
ALI provides AI-powered lead qualification, voice response, CRM integration, and sales automation services for roofing and home services companies. Services are provided on a subscription basis with a one-time setup fee. The specific features available depend on your selected subscription tier (AI Engine, Growth Suite, or Full AI Sales Floor).
3. Subscription and Billing
Subscriptions are billed monthly or annually as selected at checkout. Annual subscriptions are billed in full at the start of each billing period. Monthly subscriptions are billed on the same date each month. The one-time setup fee is non-refundable after setup work has commenced. Subscription fees are non-refundable except as described in Section 4.
4. 30-Day Revenue Guarantee (Full AI Sales Floor Only)
For Full AI Sales Floor subscribers only: if ALI does not generate at least $5,000 in recovered or new revenue within the first 30 days of going live, we will refund your first month's subscription fee. This guarantee requires that you have provided accurate business information during onboarding, that your CRM and phone systems are properly integrated, and that you have not modified the system configuration without our approval.
5. Client Responsibilities
You are responsible for providing accurate information during onboarding, maintaining access to your CRM and phone systems, complying with all applicable laws regarding automated calls and text messages (including the TCPA), obtaining necessary consents from your leads and customers, and not using the ALI system for any unlawful purpose.
6. Compliance with Communication Laws
You acknowledge that the ALI system sends automated voice calls and text messages on your behalf. You are solely responsible for ensuring compliance with the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and all other applicable federal, state, and local laws governing automated communications. ALI is not responsible for any legal claims arising from your use of the system.
7. Intellectual Property
All ALI technology, including but not limited to the AI qualification engine, voice synthesis system, automation workflows, and proprietary prompts, is the exclusive intellectual property of Apex Lead Intelligence. You receive a limited, non-exclusive license to use the service during your subscription period. You may not reverse engineer, copy, or resell any component of the ALI system.
8. Confidentiality
We will keep your business information, lead data, and CRM access credentials confidential and will not disclose them to third parties except as necessary to provide the service. You agree to keep confidential any proprietary information about our technology, pricing, or processes that you learn through your use of the service.
9. Limitation of Liability
To the maximum extent permitted by law, Apex Lead Intelligence shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability to you for any claims arising from these terms or your use of the service shall not exceed the total fees paid by you in the 3 months preceding the claim.
10. Cancellation
You may cancel your subscription at any time by contacting [email protected]. Cancellation takes effect at the end of the current billing period. Annual subscriptions cancelled before the end of the billing period are not eligible for pro-rated refunds. Upon cancellation, we will provide a data export of your lead and client information within 30 days.
11. Modifications to Service
We reserve the right to modify, suspend, or discontinue any aspect of the ALI service at any time with 30 days notice. We will not materially reduce the core functionality of your subscribed tier without offering a pro-rated refund for the remaining subscription period.
12. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these terms shall be resolved through binding arbitration in accordance with the American Arbitration Association rules.
