Terms of Service

1. Acceptance of Terms

By accessing or using the ALI platform ("Service") provided by Apex Lead Intelligence LLC ("ALI," "we," "us," or "our"), you agree to be bound by these Terms of Service, our Privacy Policy, and all policies incorporated by reference. If you do not agree, do not use the Service.

2. Description of Service

ALI provides an AI-powered sales intelligence platform including inbound call qualification, lead scoring, appointment booking, outbound calling campaigns, SMS nurture sequences, CRM integrations, and related analytics tools for home services and related industries.

3. Eligibility & Account Registration

You must be at least 18 years old and have legal authority to enter into contracts on behalf of your business. You are responsible for maintaining the confidentiality of your account credentials. Notify us immediately of any unauthorized use at [email protected].

4. Subscription, Fees & Payment

Subscription fees are billed monthly or annually in advance. All fees are non-refundable except as expressly stated herein. Setup fees are non-refundable. We reserve the right to modify pricing with 30 days' notice. Overage charges for AI voice minutes are billed at the rate specified in your subscription tier.

5. Acceptable Use Policy (AUP)

You agree to use the Service only for lawful purposes. You must not:

  • Contact individuals on federal or state Do Not Call registries without prior express written consent
  • Upload contact lists obtained through deceptive, illegal, or non-consensual means
  • Violate the TCPA, CAN-SPAM Act, state telemarketing laws, or any other applicable law
  • Reverse-engineer, decompile, or extract source code from the Service
  • Resell, sublicense, or white-label the Service without written authorization
  • Use the Service to transmit malware, spam, or unsolicited commercial messages

Violation of this AUP may result in immediate suspension or termination without refund.

6. TCPA Compliance Rider

Your TCPA Obligations as a Client

You represent and warrant that:

  1. You have obtained prior express written consent from each individual before initiating any automated call or SMS through the Service.
  2. Your consent records are accurate, current, and retained for a minimum of five (5) years.
  3. You have implemented and maintain a compliant internal Do Not Call list and honor all opt-out requests within 30 days.
  4. You have screened all contact lists against the National Do Not Call Registry within the preceding 31 days.
  5. All calls and messages comply with applicable calling hours restrictions (8 a.m.–9 p.m. local time of the called party).

ALI provides tools to assist with compliance but is not responsible for your compliance with TCPA or any other telemarketing law. You indemnify ALI against any TCPA claims arising from your use of the Service.

7. AI Disclosure

The ALI platform uses artificial intelligence, including large language models and voice synthesis technology, to conduct calls and send messages on your behalf. You are responsible for ensuring that your use of AI-generated communications complies with all applicable disclosure requirements in your jurisdiction.

8. Data Processing Agreement (DPA) Incorporation

Our Data Processing Agreement is incorporated into these Terms by reference and governs the processing of personal data on your behalf.

9. Intellectual Property

ALI and its licensors own all intellectual property rights in the Service. You retain ownership of your data. You grant ALI a limited license to process your data solely to provide the Service.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. ALI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALI'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID IN THE THREE MONTHS PRECEDING THE CLAIM, OR (B) $500. IN NO EVENT SHALL ALI BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

12. Indemnification

You agree to indemnify, defend, and hold harmless ALI from any claims arising out of your use of the Service, your violation of these Terms, or your violation of any applicable law, including TCPA.

13. Term & Termination

Either party may terminate with 30 days' written notice. ALI may terminate immediately for material breach, including AUP violations. Upon termination, your data will be retained per our Privacy Policy retention schedule, then deleted upon request.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Texas. Disputes shall be resolved by binding arbitration in Travis County, Texas, under AAA rules. You waive any right to a jury trial or class action.
